Clause order for review

1. Parties, scope, and definitions.
2. Payment terms, milestones, and termination rights.
3. IP ownership, licensing, and confidentiality language.
4. Liability caps, indemnity, and governing law.

What to flag quickly

Watch for changed numbers, replaced modal words (shall, may, must), deleted carve-outs, and newly added exceptions.

Output template

For each issue, record: clause reference, old text summary, new text summary, risk impact, and owner.
